Mont-Saint-Guibert, Belgium – May 31, 2024, 8:00am CET / 2:00am ET – Nyxoah SA (Euronext Brussels/ Nasdaq: NYXH) (“Nyxoah” or the “Company”), a medical technology company focused on the development and commercialization of innovative solutions to treat Obstructive Sleep Apnea (OSA), today announced the closing of its previously announced underwritten public offering in the United States, which included shares sold in a private offering to certain qualified or institutional investors outside the United States, including within the European Union, in which 5,374,755 shares of its ordinary shares were sold at an offering price of $9.25 (EUR 8.54) per share, before underwriting discounts and commissions. This resulted in total gross proceeds, before deducting underwriting discounts and commissions and other offering expenses payable by Nyxoah, of approximately $50 million (EUR 45.9 million).

In addition, Nyxoah announced today that the underwriters of the Offering have exercised their option to purchase additional shares for 300,000 shares at the public offering price of $9.25 (EUR 8.54) per share, before underwriting discounts and commissions. This exercise will bring the total gross proceeds of the Offering to approximately $52.5 million (EUR 48.5 million) before deducting underwriting discounts and commissions and estimated offering expenses. The closing of the exercise of the option to purchase 300,000 additional shares is expected to occur on June 3, 2024, subject to the satisfaction of customary closing conditions.

Nyxoah intends to use the net proceeds from the proposed offering (i) for pre-commercialization and commercialization activities in the United States; (ii) to continue gathering clinical data and to support physician initiated clinical research projects related to OSA patient treatments; (iii) to further finance research and development activities related to the next generation of the Genio system and to continue to build a pipeline of new technologies and explore potential collaboration opportunities in the field of monitoring and diagnostics for OSA; and (iv) for other general corporate purposes, including, but not limited to, working capital, capital expenditures, investments, acquisitions, should the Company choose to pursue any, and collaborations.

Bahrain, China sign MoU to enhance media cooperation

During the state visit of His Majesty King Hamad bin Isa Al Khalifa, the President of the current Arab Summit, to China, a Memorandum of Understanding (MoU) was signed between the National Communication Centre and China Media Group. This MoU aims to enhance cooperation and exchange expertise in the communication sector.

Ahmed Khalid Al Araifi, CEO of the National Communication Centre, highlighted that this agreement reflects the strong ties between Bahrain and China across various fields. It paves the way for a new phase of cooperation in the communication domain.

National Security announces the arrest of 158 defendants this month

The. Iraqi National Security Service ( INSS) announced today, Friday, the arrest of 158 defendants during the current month.

The INSS stated, in a statement, that it ‘continues to implement its qualitative operations throughout the country’s governorates in accordance with a distinguished intelligence effort and judicial approvals, as it was able during the month of May to arrest (35) accused of terrorism and (54) drug dealers and promoters, in addition to the overthrow of (69) electronic blackmailer.

The statement added: ‘On the economic level, our detachments seized more than (3) thousand tons of smuggled and spoiled wheat and (55) tons of materials unfit for human consumption.’

He continued: “In separate duties, our detachments carried out arrest operations that included the overthrow of (7) accused of practicing human organ trafficking, and two accused of belonging to extremist religious movements, in addition to the arrest of two accused of trafficking in antiquities.

Bahrain, China establish comprehensive strategic partnership

During His Majesty King Hamad bin Isa Al Khalifa’s official state visit to Beijing, a joint statement was issued today, marking the establishment of a comprehensive strategic partnership between the Kingdom of Bahrain and the People’s Republic of China. The visit was at the invitation of His Excellency Xi Jinping, President of the People’s Republic of China.

Since establishing diplomatic relations on April 18, 1989, Bahrain and China have maintained mutual respect and equality, with their relations steadily developing, political trust growing, and practical cooperation growing stronger across various fields, the statement said.

Celebrating the 35th anniversary of their diplomatic relations, both nations expressed satisfaction with their progress and agreed to a comprehensive strategic partnership to enhance cooperation in all areas for the benefit of their peoples, the statement announced.

The statement said that both countries will continue supporting each other on core issues.

MoI: Intensive security practices Implemented on Rusafa side of Baghdad

The Ministry of Interior announced, today, Friday, the implementation of intensive security practices on the Rusafa side of Baghdad.

The spokesman for the Interior Ministry and the Security Media Cell, Brigadier General Miqdad Miri, said in a statement: ‘ Baghdad Al-Rusafa Police Command implemented intensive security practices within the sector of responsibility under the direct supervision of the Baghdad Al-Rusafa Police Commander, Major General Shaalan Ali Saleh Al-Hasnawi, which resulted in the arrest of (133) wanted persons violators and a suspect, in addition to violators of residency requirements of different nationalities, was also seized (202) motorcycles in violation of legal instructions and (54) wanted vehicles with a seize sign on them and in violation of legal instructions.’

He added: ‘Legal measures were taken against those arrested and the seized items were handed over in accordance with the approved contexts.’

Saudi Foreign Minister meets Chinese counterpart

His Highness Prince Faisal bin Farhan bin Abdullah Al Saud, the Minister of Foreign Affairs of the Kingdom of Saudi Arabia, during his visit to Beijing, met with Wang Yi, the Chinese Foreign Minister.

According to the Saudi Press Agency (SPA), the meeting focused on Saudi-Chinese relations and means to enhance them across various domains. They also discussed strengthening bilateral and multilateral coordination on issues of common interest.

The two ministers addressed current regional and international developments and the efforts being made to address them.

A cache of weapons and equipment belonging to the terrorist ISIS seized in Nineveh

The Security Media Cell announced today, Friday, the seizure of a cache of equipment and weapons in Nineveh Governorate.

The cell said in a statement: ‘According to accurate information, the Military Intelligence Directorate, in cooperation with the security forces occupying the ground, seized an underground cache of equipment and weapons in Ain al-Jahsh quarry area in Nineveh.’

It added: ‘The equipment and weapons belong to ISIS terrorist gangs.

HM King meets Chinese Premier

His Majesty King Hamad bin Isa Al Khalifa today met with, His Excellency Mr. Li Qiang, the Premier of the State Council of the People’s Republic of China, on the sidelines of HM the King’s state visit to the People’s Republic of China.

Upon his arrival at the State Council Premier’s headquarters, HM King Hamad was received by HE Mr. Qiang.
